Background

In April 2021 the Stonebridge Community Association (the “SCA”) entered into two legal agreements related to the future acquisition of the Stonebridge Golf Course lands, namely the Tripartite Agreement  (the “Tripartite Agreement” or “Tripartite Purchase and Sale Agreement”) and the Two Party Agreement (the “Two Party Agreement” or “Stonebridge Agreement”).

These two agreements capture the terms of the solution reached between Mattamy (Monarch) Limited (“Mattamy”), the current owner of the Stonebridge Golf Course lands, the City of Ottawa (the “City”), and the SCA to protect the Stonebridge Golf Course lands from future residential development. The terms of the solution resulted from a negotiation period that started in May 2019. Jack Stirling of The Stirling Group was contracted by the City to mediate the negotiations. The Stonebridge Working Group (the “SWG”) was formed by Jack Stirling and was composed of Stonebridge residents that included members of the board of the SCA. The negotiation period culminated in a community-wide levy vote based on the terms of the proposed solution that was supported by a large majority of residents. The Stonebridge Levy administered by the City of Ottawa will be used to generate the funds required to acquire the Stonebridge Golf Course lands from Mattamy in 2029.

Tripartite Agreement

The Tripartite Agreement (the “Tripartite Agreement” or “Tripartite Purchase and Sale Agreement”) is a legal agreement based on the Letter of Intent (LOI) signed by Mattamy. This agreement serves as the Agreement of Purchase and Sale of the Stonebridge Golf Course lands. In order to implement the special levy, the City of Ottawa must have entered into an Agreement of Purchase and Sale. This Agreement, drafted by Mattamy similarly to the LOI, is the result of collaboration between all parties through the legal representation for Mattamy, the City, and the SCA that started early in 2020.

Two Party Agreement

The Two Party Agreement (the “Two Party Agreement” or “Stonebridge Agreement”) is a legal agreement, drafted by the City, that covers the terms agreed to between the City of Ottawa and the SCA that do not involve Mattamy directly. The wording in the agreement is the result of extensive collaboration between both parties through their legal representation. Most importantly, this Agreement covers terms related to management, ownership and control of the golf course lands after acquisition, the potential conversion of the land to Open Space/Green Space and the City’s support to ensure that no future development occurs beyond the scope of these agreements.
